Company strengthens governance with new Board of Directors and independent Fiscal Council; company receives BB+\/Ba1 rating from major agencies, one step away from investment grade<\/em><\/p>\n\n

J&F S.A. has announced an internal restructuring that transforms it from an investment holding company into one of the largest industrial conglomerates in the world. The process began with the change of the company’s name, formerly J&F Investimentos, and adopts three pillars: strengthening governance structures, integration of financial management and a plan to incorporate 100% controlled businesses. <\/p>\n\n

J&F S.A.’s new governance structure follows international best practices. The company now has a new Board of Directors and a Fiscal Council made up of three independent members. <\/p>\n\n

In addition, the company is no longer a holding company and is now a company organized into five business units: Energy (Amber), Hygiene and Cosmetics (Flora), Cellulose (Eldorado Brasil), Mining (Lhg Mining), and Food (JBS). \u00c2mbar has already been incorporated into J&F S.A. and a plan to incorporate the other companies is underway, with the exception of JBS. “We are creating a stronger company with greater potential for value creation, while keeping the teams in each business focused on operational performance,” said Aguinaldo Filho, president of J&F S.A. <\/p>\n\n

As a result, the financial management of the merged businesses becomes centralized, optimizing the capital structure and strengthening J&F S.A.’s position in accessing the capital market. The company now has a financial policy that establishes parameters in line with investment grade. “Centralized financial management in a diversified company contributes to risk mitigation and allows for a better allocation of capital among all the segments in which we operate,” says Fernando Storchi, CFO of J&F S.A., who held the same position at Eldorado Brasil Celulose. <\/p>\n\n

With operations in 20 countries, J&F S.A. consolidates itself as a family-controlled company with global operations and long-term vision, in essential, mature and large-scale sectors. Business diversification contributes to greater stability of cash flows, reduced volatility and strengthened financial resilience. <\/p>\n\n

Ratings<\/strong><\/p>\n\n

J&F S.A. has obtained ratings from the main risk rating agencies with BB+ ratings by Fitch and S&P Global and Ba1 by Moody’s. These ratings are national investment grade and are one step away from global investment grade. <\/p>\n\n

With consolidated revenues of R$ 490 billion (LTM 3Q2025) and around 297 thousand employees, J&F S.A. is born as one of the 10 largest family businesses in the world in revenue and number of employees, considering data from the “2025 EY and University of St. Gallen Global 500 Family Business Index” ranking.<\/p>\n\n

Board of Directors<\/strong><\/p>\n\n

The Board of Directors is now made up of seven members, three of whom are from the controlling family: the founder of the group, Jos\u00e9 Batista Sobrinho, and the shareholders Wesley Batista and Joesley Batista. The four independent members are: Francisco S\u00e9rgio Turra, bachelor of law, former Minister of Agriculture and president of the Advisory Board of the Brazilian Association of Animal Protein (ABPA); Gelson Luiz Mer\u00edsio, business administrator, former president of the Deliberative Council of Sebrae-SC and former vice president of the Confederation of Commercial Associations of Brazil (CACB); Orlando Oct\u00e1vio de Freitas J\u00fanior, accountant and accounting and financial auditor with more than 35 years of experience in firms such as BDO and KPMG; and Henrique de Campos Meirelles, business administrator, former Minister of Finance and former president of the Central Bank and the Bank of Boston. <\/p>\n\n

Management<\/strong><\/p>\n\n

In addition to Aguinaldo Filho as CEO and Fernando Storchi as CFO, the board of directors of J&F S.A. is formed by: Francisco de Assis e Silva, Vice President of Legal and Corporate Affairs; Andr\u00e9 Ocampos, Director of Administration and Control; Lucio Martins, Global Director of Integrity; in addition to the directors responsible for the business units: Marcelo Zanatta in Energy, Carmine De Siervi in Cellulose, S\u00e9rgio Caldas in Hygiene and Cosmetics and Darlan Carvalho in Mining. JBS’s governance is defined by its own bodies and does not undergo any changes. <\/p>\n\n
